Agreement to Terms

By using the services provided on UniqueHomeSites.com, you are agreeing to comply with and be bound by the following User Agreement. The terms "us", "we" or "our" refers to Base 10 Web Solutions, Inc., the registered corporation behind the UniqueHomeSites.com service. The term "you" refers to the user or viewer of our website or service.

Please read these Terms carefully before accessing or using the UniqueHomeSites.com service. By accessing or using the UniqueHomeSites.com service, you agree to be bound by these Terms. The Terms, as well as the UniqueHomeSites.com service may be updated or revised from time to time without notice to you.

Internet Display

• UniqueHomeSite™ which have been activated will be available for public viewing on the Internet. Your name and contact information, as well as all uploaded property information (text and images), will be displayed online and can be found by search engines.
• Online maps are available to each property for the general public. However, we do not guarantee the accuracy of these maps.
• You are granted a limited, nonexclusive right to create a hyperlink to your UniqueHomeSite™ or any other UniqueHomeSite™ as long is it does not portray us or any of our other products or services in a false, misleading, derogatory, or otherwise defamatory manner.

Domain Names

• Each website that is activated with the UniqueHomeSites.com service is entitled to one unique domain name (i.e. www.123UniqueStreet.com). The domain name will be registered by, and remain the property of, Base 10 Web Solutions, Inc.
• Although, domain name registration occurs in real-time, it may take 24-48 hours for the domain name to point to your website. This is commonly referred to as "domain name propagation". If your domain remains inaccessible after 48 hours, please contact our customer support desk at .
• If you currently have a domain name you already own and would like to use it as your UniqueHomeSite™ name, please contact our customer support help desk for details on how to do so.
• Base 10 Web Solutions, Inc is not responsible for misspelled or unwanted domain names for activated UniqueHomeSite™. If you would like to modify your domain name for an active UniqueHomeSite™, please contact us. There is a $20 fee for changing your domain name after it has been registered.

Site Conduct

When using the Site, you agree to abide by the following rules:

1. you may not post or transmit content (information, data, text, software, graphics, sound, photographs, video, messages, etc.) ("Content") that is unlawful, harassing, libelous, defamatory, obscene, fraudulent, harmful, threatening, abusive, hateful, that violates the property rights of others (including without limitation infringing use of a copyright or trademark), that violates the privacy or publicity right of others, or are otherwise objectionable;
2. you may not interfere with other users' use of a UniqueHomeSite™;
3. you may not use a UniqueHomeSite™ to conduct any activity that is illegal or that violates the rights of others;
4. you may not impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
5. you may not post or transmit Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, confidential information, etc.);
6. you may not post Content to a UniqueHomeSite™ unless the Content is freely owned by you or used with the permission of all other persons with any rights in the Content.

Promotional Use and Advertising

• We reserve the right to use any website created and hosted with our service for promotional purposes, including but not limited to links on our main website, knowledge base articles, featured website articles, and press examples.
• All websites created with our website building service will display a small UniqueHomeSite™.com logo and link to our corporate website at the bottom of each page.

Privacy

Our current Privacy Policy is available at http://www.uniquehomesites.com/privacy/index.php and is hereby incorporated in these Terms.

Registration Obligations

When registering on UniqueHomeSites.com, you must:

1. Provide accurate, complete information about yourself as prompted to do so by the registration process, and;
2. Maintain and update such information in order to keep it current, accurate, and complete.

Security

When you register on UniqueHomeSites.com, you will be issued a password during the registration process. You are responsible for maintaining the confidentiality of your password and you are solely responsible for any and all activities that occur under your password or account. You agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each use of UniqueHomeSites.com. We are not liable for any loss or damage arising from your failure to comply with this.

Limitation of Services

• You understand and agree that this service is provided "AS-IS" and that we assume no responsibility for the time frame, omission and/or deletion, miss-delivery or failure to store any user communications or personalization settings. You are responsible for obtaining access to the service and that access may involve ISP or airtime charges. In addition, you are responsible for all equipment necessary to access UniqueHomeSites.com.
• Each UniqueHomeSite™ may be used to represent one unique property and may not be reused for a different property. Each unique property requires the purchase of an additional website.
• We strive to maintain 100% server uptime, but this is impossible due to hardware and software upgrades, scheduled maintenance, prolonged power outages, and acts of God. We will not notify you of scheduled server outages, but we will try to limit the effect of these outages by performing maintenance during off peak hours.

Notices

Any notices to you, such as site updates, new features, or promotions offered by Base 10 Web Solutions, Inc. may be made to you by either e-mail or regular mail. We may also provide notices of changes to the Terms or other matters by displaying notices or links to notices to you on UniqueHomeSites.com.

General Provisions

These Terms constitute the entire agreement between you and Base 10 Web Solutions, Inc. and govern your use of UniqueHomeSites.com, superseding any prior agreements between you and Base 10 Web Solutions, Inc. regarding the Site (including, but not limited to, any prior versions of these Terms).

Our failure to insist upon strict enforcement of any provision of these Terms shall not be construed as a waiver of any provision or right. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will be enforced in accordance with their terms. The section headings in these Terms are for convenience only and have no legal or contractual effect.

No Liability

Under no circumstances will we be liable for any consequence relating directly or indirectly to any action or inaction you take based on the information, services or other material on the Site. While we will endeavour to keep its sites current, accurate, and complete, we cannot guarantee, and will not be responsible for, any damage or loss related to, the timeliness, accuracy, or completeness of the information, services, or other material on a UniqueHomeSite™.

Indemnification

You agree to indemnify, defend and hold harmless Base 10 Web Solutions, Inc., its subsidiaries, affiliates, officers, directory, agents, employees, partners, and suppliers from any liability, loss, claim, demand, and expense (including reasonable attorneys' fees) related to:

1. your use of UniqueHomeSites.com;
2. your violation of these Terms; or
3. your posting of Content to a UniqueHomeSite™.

You also agree to not sell, resell, copy, reproduce, or duplicate for any reason or purpose any portion, use, or access of UniqueHomeSites.com

Payment

• UniqueHomeSites.com uses high Internet standards of secure data encryption for all online transactions. We use 128-bit encryption technology and Secure Socket Layers ("SSL") in all areas where your payment information is required.
• All payments are made by credit card. The 'Checkout' process will automatically charge your card upon activation of your site(s). We accept VISA and MASTERCARD.
• The company name that will appear on your credit card statement from your financial institution will be Base 10 Web Solutions, Inc.
• Your credit card will be charged at the time of order for all services provided, unless other arrangements are agreed to in writing.
• Payment includes the creation of a UniqueHomeSite™, a one year lease of a domain name of your choice, as well as the hosting of your UniqueHomeSite™ on the Internet.
• Prices are subject to change without notice.

Cancellations

Please submit any request for cancellation of UniqueHomeSite products or services via e-mail to support@uniquehomesites.com. All cancellations requests for monthly recurring memberships must be received a minimum of 5 working days before the end of the month of your billing cycle. Cancellation requests received later than this time may result in automatic renewal of your account for another month of billing. Any cancellation request will be handled within 30 days of receipt of such a request.

Refund Policy

All setup fees for website services, as well as domain name activations or credit purchases, are completely non-refundable.

Proprietary Rights

All information on a UniqueHomeSite™, as well as the organization and layout of the site, other than Content posted by you, is owned and copyrighted by Base 10 Web Solutions, Inc. or one of its suppliers.

DISCLAIMER

YOU EXPRESSLY UNDERSTAND AND AGREE THAT THIS SITE, AND ALL INFORMATION AND CONTENT ON THE SITE, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BASE 10 WEB SOLUTIONS, INC. AND ITS SUPPLIERS DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES WITH REGARD TO THE SITE AND ALL INFORMATION, SERVICES, AND MATERIALS CONTAINED ON THE SITE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BASE 10 WEB SOLUTIONS, INC. MAKES NO WARRANTY THAT: (a) THE SITE WILL MEET YOUR REQUIREMENTS OR THAT THE RESULTS THAT MAY BE OBTAINED FROM THE SITE WILL BE SATISFACTORY; (b) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (c) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS; (d) ANY ERRORS IN THE SITE WILL BE CORRECTED, AND; (e) ANY WARRANTIES OR REPRESENTATIONS REGARDING THE USE OF THE MATERIALS IN THIS SITE IN TERMS OF THEIR COMPLETENESS, CORRECTNESS, ACCURACY, ADEQUACY, USEFULNESS, TIMELINESS, RELIABILITY OR OTHERWISE. THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM BASE 10 WEB SOLUTIONS, INC. OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.

LIMITATIONS OF LIABILITY

IN NO EVENT SHALL BASE 10 WEB SOLUTIONS, INC. OR ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, AGENTS, EMPLOYEES, PARTNERS OR SUPPLIERS BE LIABLE FOR ANY SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, BUSINESS, DATA OR PROFITS, LITIGATION AND THE LIKE, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITH RESPECT TO GOODS OR SERVICES PURCHASED DIRECTLY FROM BASE 10 WEB SOLUTIONS, INC. THROUGH THE SITE, BASE 10 WEB SOLUTIONS, INC.'S LIABILITY, IN ANY CASE, IS EXPRESSLY LIMITED TO REPLACEMENT OF DEFECTIVE GOODS, OR, AT BASE 10 WEB SOLUTIONS, INC.'S ELECTION, TO THE REPAYMENT OR CREDITING TO YOU OF AN AMOUNT EQUAL TO THE PURCHASE PRICE OF THE GOODS. YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THESE TERMS OF USE AND THE SITE WOULD NOT BE PROVIDED TO YOU ABSENT SUCH LIMITATIONS.
